TERMS AND CONDITIONS

1. INTRODUCTION

These Terms and Conditions (‘Terms’) govern your access to and use of the Quality Mind AI website, platform, mobile application, and related services (collectively, the ‘Platform’), operated by Quality Mind Global Pty Ltd ABN 36 168 501 808 trading as Quality Mind AI (‘we’, ‘us’, ‘our’).

By accessing or using the Platform, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms in full, you must immediately cease using the Platform.

These Terms apply to all users including individuals, business clients, and coaching practitioners accessing the Platform.

2. DEFINITIONS

In these Terms, the following definitions apply:

  • ‘Platform’ means the Quality Mind AI website, application, AI-powered coaching tools, Neuro-Repetition™ modules, and all associated digital services.
  • ‘User’ means any individual or entity accessing the Platform.
  • ‘Subscription’ means a paid or trial access plan to the Platform, purchased through an authorised Quality Mind Mentor™ or directly via the Platform.
  • ‘AI Tools’ means the artificial intelligence features, coaching modules, assessments, and automated content delivered through the Platform.
  • ‘Content’ means all text, data, audio, video, reports, insights, and materials generated or made available through the Platform.
  • ‘Neuro-Repetition™’ refers to Quality Mind AI’s proprietary methodology embedded within the Platform’s coaching and wellbeing programs.

3. LICENCE TO USE

Subject to these Terms and your active Subscription (where applicable), we grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Platform for your personal or internal business purposes.

3.1 YOU MUST NOT:
  • Republish, reproduce, redistribute, or commercially exploit any Platform Content without our prior written consent.
  • Sell, rent, sub-license, or transfer access to the Platform or any Content to third parties.
  • Reverse engineer, decompile, or attempt to extract source code or algorithms from the Platform.
  • Use the Platform in a manner that infringes the intellectual property rights of Quality Mind AI or any third party.
  • Scrape, mine, or systematically extract data from the Platform by automated means.
  • Use the Platform to develop competing products or services.
  • Share login credentials or enable simultaneous access for multiple users under a single account.

Where Content is expressly made available for redistribution, it may only be redistributed within the limits stated and solely within the authorised organisation or individual context.

4. ACCEPTABLE USE

You agree to use the Platform lawfully, ethically, and in accordance with these Terms. You must not use the Platform:

  • In any way that causes or may cause damage, disruption, or impairment to the Platform or other users.
  • For any unlawful, fraudulent, harmful, or deceptive purpose.
  • To transmit malicious software, viruses, or harmful code.
  • To harass, abuse, defame, or harm others.
  • To submit false, misleading, or inaccurate information.
  • For unsolicited commercial communications or spam.
  • In a manner inconsistent with any applicable workplace, professional, or regulatory obligations.
We reserve the right to suspend or terminate access immediately where we reasonably believe a breach of acceptable use has occurred.

5. AI TOOLS — IMPORTANT LIMITATIONS

The Platform incorporates artificial intelligence features including coaching programs, assessments, mental wellbeing tools, and content generation. You acknowledge and agree to the following:
5.1 NOT A MEDICAL OR CLINICAL SERVICE
The Platform and its AI Tools are designed to support mental wellbeing, performance, and behavioural coaching. They do not constitute medical advice, clinical psychology, psychotherapy, psychiatric services, or any form of regulated health treatment. Nothing delivered through the Platform should be interpreted as a diagnosis, clinical assessment, or treatment recommendation.

If you are experiencing a mental health crisis, emergency, or require clinical care, you should immediately contact a registered health professional, your GP, Lifeline on 13 11 14, or emergency services on 000.

5.2 AI ACCURACY

While we work to ensure the AI Tools operate accurately and reliably, AI-generated content may not always be complete, current, or suited to your specific circumstances. We do not warrant that outputs are free from error. You should exercise your own judgement in applying any AI-generated insights to your situation.

5.3 NO SUBSTITUTE FOR PROFESSIONAL JUDGEMENT

The Platform is an enablement tool. It is not a replacement for qualified coaches, HR professionals, psychologists, or other practitioners. Business clients using the Platform for psychosocial risk or workforce wellbeing purposes should ensure outcomes are reviewed by appropriately qualified personnel.

5.4 NEURO-REPETITION™ METHODOLOGY

The Neuro-Repetition™ methodology embedded in the Platform is proprietary to Quality Mind AI. Outcomes data referenced in our materials (including improvements in psychological distress scores, sleep, and negative thought patterns) is derived from program participants and does not constitute a guarantee of individual results.

6. SUBSCRIPTIONS AND PAYMENTS

6.1 SUBSCRIPTION ACCESS
Access to premium Platform features requires a valid Subscription. Subscriptions are available directly through the Platform or via an authorised Quality Mind Mentor™.
6.2 BILLING AND RENEWAL
Subscription fees are billed in advance at the commencement of each Subscription period (monthly, quarterly, bi-annually, or annually). Subscriptions do not renew automatically. Upon expiry, you will be required to renew with your Quality Mind Mentor™ or via the Platform to maintain access.
6.3 NO REFUNDS

Fees paid for a current Subscription period are non-refundable. If you choose to cancel during an active Subscription period, you will retain access until the end of that period, after which your access will cease.

6.4 PRICE CHANGES

We reserve the right to revise Subscription pricing at any time. We will provide advance notice of any pricing changes. Updated pricing will apply from the next Subscription renewal and will not affect your current paid period.

6.5 FUTURE FEATURES

Your Subscription is purchased based on current Platform features. You acknowledge that it is not contingent on the delivery of future features or functionality, regardless of any public statements about Platform development.

7. INTELLECTUAL PROPERTY

All intellectual property in the Platform — including but not limited to the Neuro-Repetition™ methodology, software, AI models, programs, assessments, content, branding, trade marks, and the Quality Mind AI name and logo — is owned by or licensed to Quality Mind Global Pty Ltd. All rights are reserved.

Nothing in these Terms grants you any ownership of or title to our intellectual property. Unauthorised use of our IP may constitute infringement and may result in legal action.

8. USER CONTENT AND DATA

8.1 YOUR CONTENT

Where you submit information, responses, assessments, or other content to the Platform (‘User Content’), you retain ownership of that content. By submitting User Content, you grant us a non-exclusive, worldwide, royalty-free licence to use, process, and analyse that content solely to provide and improve the Platform services.

8.2 DATA AND PRIVACY

Our collection, storage, and use of your personal information is governed by our Privacy Policy, available at www.qualitymind.ai/privacy. By using the Platform, you consent to data practices described in our Privacy Policy.

8.3 AI TRAINING
We may use de-identified, aggregated data derived from Platform usage to improve our AI models and services. We will not use individually identifiable personal data for AI training without your explicit consent.
8.4 BUSINESS AND ENTERPRISE DATA
Where you access the Platform on behalf of an organisation, you represent that you have authority to submit that organisation’s data and that doing so does not breach any applicable obligations. Organisational data is handled in accordance with our Privacy Policy and any applicable data processing agreement.

9. ACCOUNTS AND RESTRICTED ACCESS

Certain Platform areas require a user account. You are responsible for maintaining the confidentiality of your login credentials and for all activity conducted under your account.
You must notify us immediately at rich@qualitymind.ai if you become aware of any unauthorised access to your account.

We reserve the right to suspend or terminate user accounts at our sole discretion, including for breach of these Terms, non-payment, or where access is determined to cause harm to the Platform or other users.

10. PSYCHOSOCIAL SAFETY — BUSINESS CLIENTS

Quality Mind AI supports organisations in responding to Australia’s psychosocial safety obligations under Work Health and Safety legislation. However, use of the Platform does not constitute legal compliance advice, and we do not warrant that use of the Platform will satisfy any particular regulatory requirement.
Organisations should seek independent legal or WHS advisory guidance regarding their specific obligations under applicable state and federal legislation. Quality Mind AI outcomes data may be used to support, but not replace, an organisation’s own due diligence processes.

11. WARRANTIES AND DISCLAIMERS

The Platform is provided ‘as is’ and ‘as available’. To the maximum extent permitted by law, we make no representations or warranties, express or implied, including without limitation:
  • That the Platform will be continuously available, error-free, or fit for any particular purpose.
  • That AI-generated content will be accurate, complete, or suitable for your circumstances.
  • That use of the Platform will produce specific wellbeing, performance, or business outcomes.
Nothing in these Terms excludes any guarantee, right, or remedy that cannot be excluded under the Australian Consumer Law.

12. LIMITATION OF LIABILITY

To the maximum extent permitted by law, Quality Mind Global Pty Ltd and its officers, employees, agents, and licensors will not be liable to you for:
  • Any indirect, special, incidental, consequential, or punitive loss or damage.
  • Loss of revenue, profit, data, business, or goodwill.
  • Any loss arising from reliance on AI-generated content or Platform outputs.
  • Any claim arising from your use or inability to use the Platform.

Where liability cannot be excluded under applicable law, our total aggregate liability to you is limited to the total Subscription fees paid by you in the twelve (12) months preceding the event giving rise to the claim.

13. INDEMNITY

You agree to indemnify and hold harmless Quality Mind Global Pty Ltd, its officers, employees, and agents from and against any claims, losses, liabilities, damages, costs, or expenses (including legal costs) arising out of:

  • Your breach of these Terms.
  • Your misuse of the Platform or AI Tools.
  • Any User Content you submit.
  • Your infringement of any third party’s rights.

14. THIRD-PARTY SERVICES AND LINKS

The Platform may contain links to or integrations with third-party services, websites, or tools. We do not endorse or take responsibility for third-party content, availability, or practices. Your use of third-party services is governed by their respective terms and privacy policies.

15. CONFIDENTIALITY

We treat all client and business data shared through the Platform with strict confidentiality. Our employees and contractors are bound by confidentiality obligations. For enterprise deployments, a Data Processing Agreement or Confidentiality Agreement can be provided upon request.

16. TERMINATION

We may suspend or terminate your access to the Platform at any time if:

  • You breach any provision of these Terms.
  • Payment obligations are not met.
  • Continued access poses a risk to the Platform or other users.

Upon termination, your licence to use the Platform ceases immediately. Provisions relating to intellectual property, limitation of liability, indemnity, and governing law survive termination.

17. VARIATION OF TERMS

We may revise these Terms at any time. Revised Terms will be published at www.qualitymind.ai/terms and will take effect from the date of publication. Continued use of the Platform following publication of revised Terms constitutes your acceptance of those changes. We encourage you to review these Terms periodically.

18. GOVERNING LAW AND JURISDICTION

These Terms are governed by the laws of the State of Victoria, Australia. Any disputes arising in connection with these Terms are subject to the non-exclusive jurisdiction of the courts of Victoria.
